1. Scope of Services

FaceTagr provides an edge-native Vision AI platform, including software, hardware, mobile applications, APIs, and management tools for identity verification, video analytics, and related use cases.

Specific features, service levels, and commercial terms may be governed by separate written agreements.

2. Eligibility and Account Responsibility

You are responsible for:

• Maintaining the confidentiality of account credentials
• All activities conducted under your account
• Ensuring authorised use of the Services

You must promptly notify FaceTagr of any unauthorised access.

3. Acceptable Use

You agree to use the Services only:

• In compliance with applicable laws and regulations
• For lawful, authorised, and ethical purposes
• In accordance with FaceTagr's Acceptable Use Policy (where applicable)

You must not misuse the Services for unlawful surveillance, discrimination, harassment, or rights violations.

4. Customer Responsibilities

Customers are responsible for:

• Obtaining required consents and authorisations
• Providing lawful basis for biometric processing
• Configuring retention and access controls
• Informing end users of data processing practices
• Ensuring compliance with applicable privacy laws

FaceTagr does not determine end-user purposes of processing.

5. Intellectual Property Rights

All intellectual property rights in the Services, including software, algorithms, models, documentation, trademarks, and designs, are owned by FaceTagr or its licensors.

No rights are granted except as expressly stated in these Terms or applicable agreements. Customers retain ownership of their data.

6. Data Protection and Privacy

FaceTagr processes personal data in accordance with its Privacy Policy and applicable Data Protection Agreements.

In most deployments:

• Customers act as Data Controllers
• FaceTagr acts as Data Processor
• Data is processed primarily on customer-controlled infrastructure unless otherwise agreed

7. Confidentiality

Each party agrees to protect confidential information disclosed in connection with the Services and to use such information solely for authorised purposes. Confidential obligations survive termination.

8. Service Availability and Support

FaceTagr endeavours to provide reliable and secure Services. Service levels, maintenance windows, and support commitments may be defined in separate agreements. Temporary interruptions may occur for maintenance or security reasons.

9. Fees and Payment (If Applicable)

Where Services are provided on a paid basis:

• Fees are as specified in applicable agreements
• Payments are due in accordance with agreed terms
• Taxes are the responsibility of the customer unless otherwise stated

10. Warranties and Disclaimers

The Services are provided "as is" and "as available" unless otherwise agreed in writing. Except as expressly stated, FaceTagr disclaims all implied warranties, including merchantability and fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, FaceTagr shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business interruption

FaceTagr's aggregate liability shall not exceed the fees paid in the twelve (12) months preceding the claim, unless otherwise agreed.

12. Indemnification

Customers agree to indemnify and hold harmless FaceTagr from claims arising from:

• Unlawful use of the Services
• Violation of these Terms
• Breach of applicable laws
• Misuse of biometric or personal data

13. Term and Termination

These Terms remain in effect until terminated. FaceTagr may suspend or terminate access for material breach, security risks, or legal compliance requirements. Upon termination, access rights cease, subject to contractual obligations.

14. Export Controls and Sanctions

You agree to comply with applicable export control and sanctions laws. The Services may not be used in restricted jurisdictions or by prohibited entities.

15. Force Majeure

Neither party shall be liable for failure caused by events beyond reasonable control, including natural disasters, government actions, or network failures.

16. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the jurisdiction specified in the applicable commercial agreement or contracting entity. In the absence of such agreement, governing law shall be determined by FaceTagr's principal place of business.

17. Changes to Terms

FaceTagr may update these Terms from time to time. Material changes will be notified through reasonable means. Continued use constitutes acceptance.
